1. Acceptance of Terms

By accessing or using povorsolution.com or engaging Povor Solutions Limited (“Povor Solutions”) for software engineering, cloud systems architecture, or AI automation consulting, you agree to be bound by these Terms of Service.

2. Engineering Services & Engagement Agreements

All custom software development contracts, scopes of work (SOWs), deliverables, timelines, and payment structures are defined under bespoke master service agreements entered into between Povor Solutions and the client. In the event of any conflict between these general terms and an executed SOW, the terms of the signed SOW shall take precedence.

3. Intellectual Property Rights

Ownership of code, documentation, and digital assets:

• Client Custom Code: Upon complete settlement of all agreed project milestones and invoices, all rights, title, and interest in bespoke code custom-engineered exclusively for the client shall vest with the client.
• Proprietary In-House Platforms: All proprietary systems, SaaS products (including Sculify and Zoda), reusable libraries, frameworks, design systems, and developer tooling developed by Povor Solutions remain the exclusive intellectual property of Povor Solutions Limited.

4. Warranties & Code Quality

We engineer our systems to rigorous industry standards of security, performance, and code maintainability. Following product launch, we provide dedicated warranty periods and service level agreements (SLAs) as outlined in each project contract to ensure flawless operational reliability.

5. Limitation of Liability

To the fullest extent permitted by applicable law, Povor Solutions shall not be liable for any indirect, incidental, special, consequential, or punitive damages arising out of your access to or inability to use our website or services.

6. Governing Law

These Terms shall be governed by and construed in accordance with the laws of the Federal Republic of Nigeria, without regard to its conflict of law principles.
